Effective Date:

This License Agreement is effective as of January 1, 2024, or the date of purchase, whichever is later.

This License Agreement (“Agreement”) is entered into by and between CD Bytes (“Licensor”) and the purchasing party (“Licensee”). By purchasing, downloading, or using the digital music beat (“Music”) from the Licensor, the Licensee agrees to the terms outlined below.

Grant of License.
Non-exclusive, non-transferable license. Licensor grants Licensee a non-exclusive, non-transferable license to use the Music under the following conditions:

Permitted Uses:
Inclusion in personal or commercial blogs. Background music for editorial, learning website and videos.
Use in Digital Streaming Platforms (DSPs) such as YouTube, Spotify, or similar services. 

Remastering and Adaptation:
Licensee may incorporate vocals or other audio elements into the Music. Licensee must credit CD Bytes as the composer of the Music in all instances where the Music is used or remastered.

Prohibited Uses:
Use in On-Air Television Channels, Television Programs, Commercial Advertising or Film Production/Trailers is strictly prohibited without obtaining a separate license from Licensor. Sub-licensing, resale, or redistribution of the Music in its original or altered form is prohibited.

Ownership
Licensor retains all rights, title, and ownership of the Music, including copyrights. This Agreement does not transfer ownership rights to the Licensee.

Restrictions
Licensee shall not claim ownership of the Music.
Licensee shall not use the Music in any manner not expressly authorized under this Agreement.

Credit Attribution
All public uses of the Music, including remastered versions, must include the following credit:
“Music composed by CD Bytes. Used with permission.”

Limitations of Liability
Licensor is not liable for any claims, damages, or losses resulting from the use of the Music, including but not limited to copyright disputes arising from Licensee’s failure to comply with this Agreement.

Termination
Licensor reserves the right to terminate this Agreement and the License if the Licensee breaches any terms herein. Upon termination, the Licensee must cease all use of the Music.

Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada.

Acceptance
By purchasing or using the Music, the Licensee agrees to the terms of this Agreement.
